Training, Consultation & Practice Development in Missing, Exploitation & Adolescent Safeguarding.

These Terms and Conditions apply to all training, consultation, and practice development services provided by Michaela B Kempson unless otherwise agreed in writing.

1. Services
Services may include specialist training, reflective consultation, practice development support, and other agreed professional services. The scope of work, format, duration, and fee will be confirmed in writing before work begins.

2. Bookings
A booking is confirmed once the client has agreed in writing to the service, date, fee, and these Terms and Conditions. Confirmation may be made by email.

3. Fees
Fees will be agreed in advance and confirmed in writing. Prices may vary depending on the nature of the service, preparation required, delivery format, group size, travel, and any additional requirements.

4. Payment Terms
Invoices must be paid within 14 days of the invoice date unless otherwise agreed in writing. Payment details will be provided on the invoice. Late payment may result in future bookings being declined until the outstanding balance is cleared.

5. Travel and Expenses
Where services are delivered in person, reasonable travel expenses may be charged in addition to the agreed fee. Any additional travel or accommodation costs will be discussed and agreed in advance.

6. Cancellations and Rescheduling by the Client

If the client cancels or reschedules a confirmed booking, the following charges may apply:

  • More than 14 days’ notice: no cancellation fee

  • 7 to 14 days’ notice: 50% of the agreed fee

  • Less than 7 days’ notice: 100% of the agreed fee

Where possible, reasonable efforts will be made to reschedule the booking to a mutually convenient date.

7. Cancellations by the Provider
If Michaela B Kempson is unable to deliver the agreed service due to illness, emergency, or circumstances beyond reasonable control, the client will be offered either a rearranged date or a full refund of any payment already made for the undelivered service.

8. Delivery of Services
Services may be delivered online or in person, as agreed in advance. The client is responsible for ensuring that appropriate arrangements are in place for attendance, access, technology, venue requirements, and any internal communication needed for delivery.

9. Client Responsibilities
The client agrees to provide accurate information relevant to the service being commissioned and to communicate any requirements, concerns, or changes in good time. For training or consultation involving sensitive subject matter, the client remains responsible for their own safeguarding, supervision, and organisational follow-up arrangements.

10. Professional Boundaries
Services are offered in a professional training, consultation, and practice development capacity. They do not constitute legal advice, clinical therapy, crisis intervention, or emergency safeguarding management. Responsibility for operational decision-making and case management remains with the client organisation.

11. Confidentiality
All information shared in the course of service delivery will be treated professionally and confidentially unless disclosure is required by law or where there is a serious safeguarding, legal, or ethical concern. Where live case material is discussed, clients should ensure identifying details are anonymised wherever possible.

12. Safeguarding
Any information indicating an immediate or serious safeguarding risk may need to be shared with relevant professionals or authorities in line with legal and ethical responsibilities. Wherever appropriate, this will be discussed with the client.

13. Intellectual Property
All training materials, written content, session materials, frameworks, and resources provided remain the intellectual property of Michaela B Kempson unless otherwise agreed in writing. Materials may not be reproduced, distributed, recorded, or reused without prior written permission.

14. Recording and Distribution
Training sessions, consultation sessions, and materials must not be recorded, reproduced, or shared externally without prior written consent.

15. Limitation of Liability
All services are delivered with reasonable skill, care, and professional integrity. However, Michaela B Kempson shall not be liable for indirect, consequential, or organisational losses arising from the use of services or materials. Responsibility for decisions taken following training or consultation remains with the client.

16. Complaints
Any concerns about services provided should be raised in writing as soon as possible so that they can be considered and addressed fairly.

17. Changes to Terms
These Terms and Conditions may be updated from time to time. The version in effect at the time of booking will apply to that booking unless otherwise agreed.

18. Governing Law
These Terms and Conditions shall be governed by the laws of England and Wales.
